Creating a Safe Environment: Whistleblowing at PDO

At PDO, we are committed to upholding our Statement of General Business Principles and Code of Conduct. To ensure we stay true to these values, we provide an independent channel that allows anyone to raise concerns, share information, or lodge complaints regarding the behavior or practices of PDO, its employees, contractors, suppliers, or their individual employees in relation to their business dealings with PDO.

Our aim is to cultivate a culture of openness and transparency, encouraging employees and those with whom we do business to come forward with any issues they might encounter or concerns they may have.

We understand that some employees and business partners may be concerned about potential retaliation linked to the reporting certain matters. Rest assured, we are fully committed to safeguarding whistle-blowers against detriment or retaliation.

Whether you choose to report an issue with a reasonable suspicion of wrongdoing or with concrete evidence, we value your input and will treat all concerns seriously. No-one should feel burdened with proving the validity of their report; we welcome genuine intentions to uphold our principles.

At PDO, we firmly believe that acting in good faith is paramount. Even if an incident is later found to be misunderstood or mistaken, we encourage individuals to come forward with their concerns if they genuinely believe something is amiss.

Creating a safe and supportive environment is at the core of PDO's values, and our commitment to whistleblowers is an essential part of that. By offering an accessible platform for raising concerns and maintaining confidentiality, we aim to ensure that PDO remains an ethical and responsible organization at all times.

Upholding Ethical Standards: PDO's Guidelines on Gifts, Hospitality, and Travel

Petroleum Development Oman (PDO) is a leading oil and gas exploration and production company operating in the Sultanate of Oman. With a commitment to excellence and responsible business conduct, PDO recognizes the importance of maintaining transparency, integrity, and compliance with legal and ethical standards. As part of our ongoing efforts to foster a culture of trust and uphold the company's reputation, PDO has implemented a comprehensive Procedure that strictly governs the offering and acceptance of gifts, hospitality, and travel (GH&T) by its employees.

In the competitive world of oil and gas, building strong business relationships is essential for PDO's success. While the company values the occasional exchange of modest GH&T as a means to strengthen partnerships and rapport, it equally prioritizes preventing any form of bribery, corruption, or conflicts of interest that may compromise its principles.

The GH&T Procedure at PDO is not just a formality; it plays a crucial role in the broader management of Conflict of Interest within the organization. Aligning with the company's mission and core values, the Procedure sets specific limits and guidelines to ensure that all employees act in the best interest of PDO and its shareholders.

  1. General Guidelines:

At PDO, employees are strictly forbidden from soliciting gifts, hospitality, and travel (GH&T) from any external parties. Additionally, the offering and acceptance of GH&T is discouraged. The acceptance or offering of GH&T must never influence, or appear to influence, any business decisions.

  2. Interaction with Third Parties:

Any attempt by third parties to offer GH&T to employees shall be considered as an offer and must be recorded, even if not accepted.

  3. Reporting and Monitoring:

Transparency is crucial, and all GH&T offered or received must be registered using the Conflicts of Interest reporting tool available on the Ethics & Compliance website. The Ethics & Compliance team, or their designated staff, will diligently monitor the reported GH&T. They will review the declarations, provide guidance, and approve or decline the associated receipt of reported GH&T where appropriate.

  4. Conclusion:

As PDO continues to play a pivotal role in Oman's economic development, the GH&T Procedure stands as a testament to the company's unwavering commitment to operating with integrity and maintaining its reputation as a responsible and ethical industry leader. By adhering to these guidelines, PDO employees and its business partners can confidently navigate various business interactions while upholding the highest standards of professionalism and ethical conduct. Through transparency and accountability, PDO aims to foster a culture of trust not only within its ranks but also among its stakeholders and the communities it serves.

Conflict of Interest Guidelines

Conflict of Interest (COI) arises when personal relationships, external activities, or interests in other ventures influence, or are perceived to influence, employment decisions at PDO. While PDO respects employees' personal affairs, it is essential to recognize that personal or family activities may conflict with the company's interests.

Immediate Actions for COI:

Employees and business partners must avoid COI and refrain from decision-making if conflicts arise. In case of uncertainty or unclear situations, employees and business partners should consult their line manager and Contract manager, or Head of Ethics and Compliance for guidance.

“Promoting Smooth Global Trade: A Guide to PDO International Trade Controls and Sanctions"
Introduction

We place emphasis on risk-based guidance and appropriate controls for dealing with ITC related business opportunities, including decisions not to engage with entities from Generally Embargoed Countries (GEC), High-risk Countries (HRC), and/or Specially Designated Nationals (SDN). ITC issues are addressed on a case-by-case basis, considering compliance requirements and suggested controls for dealing with Sanctioned countries or SDNs.

Conclusion

PDO aims to mitigate risks related to International Trade Compliance and dealings with entities linked to Sanctioned countries or Specially Designated Nationals, ensuring lawful and responsible business practices.

Ensuring Integrity and Compliance: The ABC DD Process

In today's ever-changing business landscape, maintaining integrity and compliance with national and international laws, regulations, and ethical principles governing Anti-Bribery and Corruption (ABC) is of paramount importance. To safeguard against potential risks, our company, PDO, has implemented a robust Anti-Bribery and corruption Due Diligence (DD) process.

The primary objective of the ABC DD process is to identify any integrity and compliance issues that could pose a risk to PDO's reputation and adherence to legal and ethical standards.

By prioritizing the ABC DD process, PDO takes proactive steps to uphold the highest ethical standards, foster a culture of integrity, and mitigate potential risks associated with bribery, corruption, conflicts of interest, and ethical non-compliance. Together, we are committed to building a responsible and ethical business environment that aligns with the values of our company and the expectations of our stakeholders.
